These Terms of Service ("Terms") govern your access to and use of Emitly's website, software, and services (collectively, the "Services"). By using the Services, you agree to these Terms.
1. Eligibility
You must have authority to bind your organization if you register on its behalf. You must comply with all laws applicable to your use of the Services.
2. Accounts
You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorized use.
3. Acceptable use
You agree not to:
- Misuse the Services or probe, scan, or test vulnerabilities without authorization
- Use the Services to send unlawful, harmful, or deceptive communications
- Attempt to reverse engineer or circumvent technical limitations except as permitted by law
- Resell or redistribute the Services without our written agreement
4. AI and automated features
Outputs may be imperfect. You remain responsible for how you deploy AI features, including compliance with industry rules (for example, healthcare or financial regulations) and for reviewing critical outcomes.
5. Fees & trials
Paid plans, billing cycles, and trial terms are described at checkout and in your account. Unless stated otherwise, fees are non-refundable except as required by law.
6. Intellectual property
Emitly retains rights to the Services and our branding. Subject to these Terms, we grant you a limited, non-exclusive license to use the Services during your subscription.
7. Disclaimer
THE SERVICES ARE PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMITLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM.
9. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or risk to the Services or others, with notice where reasonable.
10. Changes
We may modify these Terms by posting updates to this page. Continued use after changes constitutes acceptance of the revised Terms.
